1. Scope
These Terms of Service apply to the use of the website webmade.site and to all services provided by Webmade Studio — including web design and development, WordPress and Webflow websites, e-commerce, web and mobile applications, server and DevOps services, business process automation, AI agents, chatbots and AI integrations, as well as maintenance and support.
Individual written agreements, proposals or statements of work take precedence over these terms. Conflicting terms of the client apply only if we have expressly agreed to them in writing.
2. Use of the website
The content of this website is provided for general information about our services and does not constitute a binding offer. You may not use the website in a way that impairs its operation or security, or attempt to gain unauthorised access to systems or data.
3. Proposals and conclusion of contract
Requests sent via the form, email or WhatsApp are non-binding. Based on your request we prepare a proposal with scope, timeline and price. A contract is concluded when the proposal is accepted in writing (email is sufficient) or when we start work at your request.
4. Client cooperation
The client provides content, access credentials, materials and feedback needed for the project in good time. Delays caused by missing input may shift deadlines. The client is responsible for ensuring that materials provided (texts, images, data) are free of third-party rights or properly licensed, and that the processing of personal data entrusted to us is lawful.
5. Prices and payment
Prices are set in the individual proposal. Invoices are due as set out in the individual proposal or invoice. For larger projects, we may agree on advance payments and milestone payments. Recurring services (support, hosting, maintenance) are billed for the agreed period.
6. Delivery and acceptance
After completion we hand over the result for review. The client checks it within a reasonable period and reports any defects. The result is considered accepted when it goes live in production or no material defects are reported within the agreed review period.
7. Intellectual property
Upon full payment, the client receives all rights to the individually created results, including the source code developed specifically for the project. Third-party components (open-source libraries, WordPress plugins, themes, fonts, stock images, SaaS platforms and AI models) remain subject to their respective licences and terms. We may mention the project as a reference only with the client's consent.
8. Confidentiality and NDA
Both parties keep confidential all non-public information they receive in connection with the cooperation. On request, we sign a separate non-disclosure agreement (NDA) before detailed project discussions. Where we process personal data on behalf of the client, we conclude a data processing agreement (Art. 28 GDPR).
9. AI services and third-party platforms
AI agents, chatbots and AI integrations are based on models and APIs of third-party providers. AI-generated output can be inaccurate or incomplete; the client remains responsible for reviewing it before relying on it for decisions with legal or financial effect, and for defining appropriate human oversight. Usage fees of third-party platforms (hosting, APIs, AI tokens, SaaS subscriptions) are borne by the client unless agreed otherwise. We are not responsible for changes, outages or price changes of third-party services.
10. Warranty and support
We perform our services with professional care according to the current state of technology. Reported defects in our work are corrected within a reasonable time. Ongoing maintenance, updates and monitoring are provided under a separate support agreement.
11. Liability
We are liable without limitation for intent and gross negligence and for injury to life, body or health. For slight negligence we are liable only for the breach of essential contractual obligations, limited to the typical, foreseeable damage. Liability for loss of data is limited to the effort required to restore it from regular backups. Mandatory statutory liability, in particular under consumer protection law, remains unaffected.
12. Term and termination
Project contracts end upon completion. Recurring services run for the agreed term and can be terminated with the agreed notice. The right to terminate for good cause remains unaffected.
13. Governing law and final provisions
The governing law and the place of jurisdiction are determined by the individual agreement with the client, subject to mandatory consumer protection law. Mandatory consumer protection provisions of the consumer's country of residence remain unaffected. Should any provision be invalid, the remaining provisions remain in force.
